Agreement to terms
These Terms and Conditions govern your access to and use of ChatPilot, including https://chatpilot.biz, our applications, dashboards, APIs, messaging tools, analytics, automation features, and related services. By creating an account, accessing the service, or using ChatPilot on behalf of a business, you agree to these Terms.
If you use ChatPilot for a company or other organization, you represent that you have authority to bind that organization. In that case, "you" and "your" refer to both you and the organization. If you do not agree to these Terms, do not use ChatPilot.
Eligibility
You must be at least 18 years old and able to form a binding contract to use ChatPilot. You may not use ChatPilot if you are barred from receiving the service under applicable law or if we previously suspended or terminated your account for violating these Terms.
You are responsible for ensuring that your use of ChatPilot complies with all laws and platform rules that apply to your business, customers, campaigns, payments, and communications.
User accounts
You must provide accurate account, business, billing, and contact information and keep it current. You are responsible for safeguarding account credentials, managing authorized users, configuring roles and permissions, and all activity that occurs under your account.
You must promptly notify us at support@chatpilot.biz if you suspect unauthorized access, credential compromise, or misuse of your account. We may require additional verification before making sensitive account changes.
You retain responsibility for customer data, product data, campaign settings, prompts, templates, connected integrations, and instructions submitted through your account.
Acceptable use
You agree not to use ChatPilot to:
- Violate laws, privacy rights, consumer protection rules, marketing rules, payment rules, or messaging platform policies.
- Send spam, deceptive messages, unlawful marketing, phishing, harassment, hate, threats, or content that exploits or harms others.
- Collect, upload, or process sensitive personal information unless you have a lawful basis, appropriate notices, and required consent.
- Misrepresent your identity, business, products, pricing, offers, or relationship with ChatPilot, Meta, WhatsApp, payment providers, or other third parties.
- Interfere with the service, probe security, bypass access controls, introduce malware, scrape data, overload systems, or attempt to reverse engineer non-public parts of ChatPilot.
- Use AI outputs as professional medical, legal, financial, or other regulated advice without appropriate expert review.
We may investigate suspected violations and remove content, restrict features, suspend accounts, or terminate access where reasonably necessary to protect ChatPilot, users, end customers, platform partners, or the public.
Third-party services and messaging platforms
ChatPilot connects with third-party services such as Meta WhatsApp Cloud API, Facebook and Instagram tools, Google Analytics, Stripe, M-Pesa providers, PayHero, ecommerce platforms, CRMs, and hosting providers. Your use of those services may be subject to separate terms, policies, fees, and technical requirements.
You are responsible for obtaining required permissions, maintaining connected accounts, complying with messaging template rules, honoring opt-outs, and ensuring that your customer communications are lawful and expected. We are not responsible for changes, outages, suspensions, limits, or policy decisions made by third-party providers.
ChatPilot may provide AI-generated responses, classifications, recommendations, summaries, and analytics. AI output may be incomplete, inaccurate, delayed, or unsuitable for a particular customer. You are responsible for reviewing, configuring, testing, and supervising the use of automation in your business.
Payments, billing, and subscriptions
Paid plans, usage-based fees, payment processing fees, overage fees, taxes, and other charges are described at checkout, in your order form, or in the pricing page available when you subscribe. By purchasing a plan, you authorize ChatPilot and our payment processors to charge your selected payment method for applicable fees.
Subscriptions renew automatically unless cancelled before the renewal date. You can cancel a subscription through your account settings or by contacting support. Cancellation stops future renewals but does not automatically refund fees already charged unless required by law or expressly stated in your order.
You are responsible for taxes, valid payment information, chargebacks, disputed transactions, and fees charged by banks, card networks, mobile money providers, or other processors. We may suspend or limit access if payment fails, invoices are overdue, or payment activity appears fraudulent or unlawful.
Intellectual property
ChatPilot, including its software, design, workflows, branding, logos, documentation, APIs, analytics, models, templates, and related technology, is owned by ChatPilot or its licensors and is protected by intellectual property laws. These Terms do not transfer ownership of ChatPilot technology to you.
Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use ChatPilot for your internal business purposes.
You retain ownership of content, customer data, prompts, product information, and business materials you submit to ChatPilot. You grant ChatPilot the rights needed to host, process, transmit, display, analyze, secure, and otherwise use that content to provide and improve the service, comply with law, and enforce these Terms.
If you provide feedback or suggestions, we may use them without restriction or compensation, provided we do not identify you publicly without permission.
Service availability and modifications
We aim to provide a reliable service, but ChatPilot may be unavailable from time to time due to maintenance, updates, network conditions, security events, third-party outages, force majeure events, or other reasons. We do not guarantee that ChatPilot will be uninterrupted, error-free, or available in every location.
We may modify, suspend, replace, or discontinue features, plans, integrations, APIs, or pricing. If a material change negatively affects a paid subscription, we will take reasonable steps to provide advance notice where practical.
Privacy and data protection
Our Privacy Policy explains how we collect, use, and protect personal information. If ChatPilot processes personal information on your behalf, you are responsible for providing required notices, obtaining required permissions, responding to end-user requests, and using the service in compliance with applicable privacy, marketing, and communications laws.
You must not submit data to ChatPilot unless you have the necessary rights, consents, lawful bases, and instructions for us to process it. If a separate data processing agreement applies, it forms part of your agreement with ChatPilot.
Disclaimers
ChatPilot is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee that AI responses, analytics, attribution, campaign recommendations, or payment status information will always be accurate, complete, or suitable for your business. You are responsible for reviewing important outputs before relying on them.
Limitation of liability
To the maximum extent permitted by law, ChatPilot and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or cost of substitute services.
To the maximum extent permitted by law, the total liability of ChatPilot for claims arising out of or related to these Terms or the service will not exceed the amounts you paid to ChatPilot for the service in the three months before the event giving rise to the claim, or USD 100 if you have not paid ChatPilot.
Some jurisdictions do not allow certain limitations. In those jurisdictions, our liability is limited to the greatest extent allowed by law.
Indemnification
You agree to defend, indemnify, and hold harmless ChatPilot and its affiliates, officers, employees, contractors, and licensors from claims arising out of or related to your content, customer data, campaigns, products, use of ChatPilot, violation of these Terms, violation of law, or infringement of third-party rights.
Termination
You may stop using ChatPilot at any time and may cancel your subscription as described in the billing section. We may suspend or terminate access if you breach these Terms, fail to pay fees, create security or legal risk, misuse the service, or if we are required to do so by law or a platform provider.
After termination, your right to use ChatPilot ends. We may retain or delete account data in accordance with our Privacy Policy, legal obligations, backup practices, and any applicable data processing agreement. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
Governing law
These Terms are governed by the laws of Kenya, without regard to conflict of law principles. If you are a consumer, this choice of law does not limit mandatory rights you may have under the laws of your country, state, or region of residence.
Dispute resolution
Before filing a legal claim, you and ChatPilot agree to first try to resolve the dispute informally. Send a written notice to legal@chatpilot.biz with your name, contact information, account details, a description of the dispute, and the remedy requested. We will try to resolve the dispute within 30 days.
If the dispute is not resolved informally, disputes will be brought in the competent courts located in Nairobi, Kenya, unless applicable consumer law requires another forum. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, security, or platform integrity.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as posting a notice, sending an email, or updating the date on this page. Updated Terms apply when they become effective. If you continue using ChatPilot after the effective date, you accept the updated Terms.
